These Advertiser Terms of Use (“Terms”) govern the relationship between FATESPUN, Inc. (“FATESPUN,” “we,” “our,” or “us”) and any individual or entity who submits, uploads, or provides advertising materials (“Advertiser,” “you,” or “your”) for placement on the FATESPUN platform (“Services”).

By submitting advertising content to FATESPUN, you agree to be bound by these Terms.

1. Definitions

“Advertisement”

Any promotional content, text, images, videos, audio, claims, offers, or materials submitted to FATESPUN for display.

“Advertiser”

Any individual, company, agency, partner, or representative providing Advertisements to FATESPUN.

“Platform”

The FATESPUN website, services, email communications, digital interfaces, and advertising placements.

“Applicable Law”

All laws governing advertising and marketing, including FTC Act, state advertising laws, CAN-SPAM Act, Lanham Act, intellectual property laws, and consumer protection laws.

2. Relationship Between Parties

The relationship between FATESPUN and Advertiser is strictly independent.

Nothing in these Terms shall be construed to create:

* A partnership

* Joint venture

* Franchise

* Agency relationship

* Employment relationship

Advertiser has no authority to bind or represent FATESPUN.

3. Advertiser Responsibilities & Warranties

Advertiser represents and warrants that:

1. All content is accurate, truthful, and not misleading

2. Content does not violate any advertising or consumer protection law

3. Advertiser owns or has full rights to use all provided materials

4. Content does not infringe copyright, trademark, publicity rights, or privacy rights

5. Advertisements do not contain harmful, defamatory, or illegal material

6. No personal information of any third party is included without explicit, lawful consent

7. Advertisements comply with any applicable platform or industry guidelines, including:

* FTC Advertising Guidelines

* State unfair competition laws

* Data protection regulations (CCPA, GDPR where applicable)

* Truth-in-advertising regulations

Advertiser assumes all responsibility for the legality and correctness of submitted content.

4. Prohibited Advertising Categories

Advertiser may NOT submit content related to:

* Medical, therapeutic, or health claims

* Financial guarantees, investment schemes

* Misleading astrology/fortune claims guaranteeing outcomes

* Adult or explicit material

* Violence, hate speech, or discriminatory content

* Illegal products or services

* Collection of user data or tracking without compliance

* Religious proselytizing

* Fraudulent or deceptive schemes

* Multi-level marketing or get-rich-quick programs

* Ads impersonating government agencies or legal authorities

FATESPUN may update this list at any time.

5. No Access to FATESPUN User Data

Advertisers are strictly prohibited from:

* Attempting to collect user emails or personal identifiers

* Embedding tracking pixels, cookies, or scripts

* Requesting users’ birth data or sensitive information

* Adding forms or links to data collection sites

* Contacting FATESPUN users directly without consent

Violation may result in immediate termination.

6. Review and Approval Process

FATESPUN reserves the absolute right to:

* Review all Advertisements

* Approve, modify, restrict, or reject any Advertisement

* Remove any Advertisement at any time, with or without notice

* Refuse service to any Advertiser at our sole discretion

Approval of an Advertisement does not constitute endorsement by FATESPUN.

7. Placement & Delivery of Advertisements

FATESPUN determines:

* Where advertisements appear

* How long they run

* Frequencies, placements, and visibility

* Display order relative to other ads

Advertiser acknowledges that:

* Placement is not guaranteed unless expressly agreed in writing

* Display times may vary due to system or operational factors

8. Fees and Payment

If advertising involves fees:

* Advertiser agrees to pay all charges associated with placing Ads

* Payments must be made before campaign activation

* All fees are non-refundable unless required by law or agreed in writing

Late or unpaid invoices may result in suspension or termination of Ads.

9. Intellectual Property Rights

Advertiser retains ownership of submitted content but grants FATESPUN a:

Worldwide, royalty-free, non-exclusive, sublicensable license

to display, reproduce, distribute, and use the Advertisement solely for:

* Delivering advertising services

* Marketing analytics

* Operational purposes

Advertiser warrants that all IP rights are secured.

10. Indemnification

Advertiser agrees to indemnify, defend, and hold harmless FATESPUN, its officers, employees, and agents from any claims arising out of:

* Advertisement content

* Misrepresentation or false advertising

* IP infringement

* Violation of law

* Consumer complaints

* Defamation or harm caused by Advertiser content

This is one of the most critical protections for FATESPUN.

11. Limitation of Liability

To the fullest extent permitted by law:

* FATESPUN is not liable for indirect, incidental, consequential, punitive, or exemplary damages

* FATESPUN does not guarantee performance, engagement, clicks, conversions, or business results

* Total liability is limited to the amount paid by Advertiser for the advertising services in the previous 30 days

12. Termination

FATESPUN may terminate an Advertiser’s access:

* Immediately for violations of these Terms

* For illegal or harmful content

* Upon receiving valid complaints

* At our discretion for operational or legal reasons

Upon termination, Advertiser must cease all use of FATESPUN’s platform and trademarks.

13. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflicts of law.

14. Dispute Resolution — Binding Arbitration

Any disputes shall be resolved through individual, binding arbitration under AAA rules.

Class actions, jury trials, and group arbitration are waived.

15. Amendments

FATESPUN may modify these Terms at any time.

Updated versions will be posted with an updated “Last Updated” date.
